You will join a team of lawyers that were trained at top tier law schools and firms who continue to apply and grow their exceptional legal skills as business-minded practitioners in collaboration with our Wonderful family of businesses.

The Wonderful legal team is a full-service law group with approximately 100 individuals (including 50 attorneys) working directly for The Wonderful Company or with our captive law firm, Roll Law Group. Our corporate team has over 15 lawyers and is a part of our broader transactional group that also includes real estate, employment, intellectual property, regulatory, education and government affairs teams. Our lawyers actually do the legal work for our businesses instead of just managing outside counsel. No billable hours, no pressure to get or retain clients, we strive for balance as well as excellence. We offer a hybrid work schedule: Monday to Wednesday in office; Thursday and Friday work from home.

Job Description
  • Work on a wide variety of complex business transactions (in a supporting or lead role) involving both domestic and international issues including M&A, financings, joint ventures, capital projects and general commercial transactions
  • Support M&A and financing deal teams, including conducting due diligence, drafting ancillary agreements, coordinating closing deliverables and post-closing tasks with minimal supervision
  • Negotiate and draft purchase and sale agreements, equipment purchase agreements, joint venture agreements, financing documents, distribution agreements, license agreements, service agreements, supply agreements, sponsorship agreements, partnership agreements, transportation agreements and many more
  • Structure and document new agreements and relationships with strategic partners
  • "Own" projects - ask questions, take responsibility, think outside the box and make risk-appropriate judgment calls
  • Proactively seek out opportunities to learn about our businesses to understand their operations and goals

  • 3-5 years of broad-based complex corporate transactional experience (M&A experience preferred) practicing corporate law in a top-tier law firm
  • Experience drafting and negotiating complex deal documents
  • Experience working as an associate on a larger team, as well as taking the lead role on smaller projects
  • Ability to make judgment calls based on varying risk tolerances and provide succinct, business-minded legal advice to business unit executives
  • Team player - willing to stretch to take on new responsibilities and to roll up your sleeves to pitch in where needed
  • Kind, respectful and collaborative with everyone across all levels of the organization; looking for a collegial environment where colleagues leave their doors open and stop by to chat about weekend plans
  • Strong academic credentials, excellent analytical, organizational, verbal and written skills required
  • JD from top tier law school
  • Must be a member in good standing of the State Bar of California or registered as in-house counsel
